Here is one way to do it:

jpegtran -progressive TEST.jpg | exiftool -tagsfromfile TEST.jpg -exif - > out.jpg

This will transfer the exif segment as a block, which presumably is what jhead does.
However, instead of -exif I would suggest using -all:all to
transfer all metadata.
